1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "Client", "you") and RGB LOGIX ("Company", "we", "us", or "our"), concerning your access to and use of the rgblogix.com website as well as any related corporate consulting, Amazon e-commerce management, company formation, and intellectual property registration services.

By accessing our website, contracting our services, or submitting inquiry forms, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the site and our services, and you must discontinue use immediately.

2. Scope of Professional Services

RGB LOGIX provides strategic consulting, corporate documentation assistance, and digital management solutions, including but not limited to:

• Amazon Private Label Services: Product hunting, supplier sourcing, listing SEO copywriting, graphic design, 3D renderings, A+ Content creation, and PPC advertising management.
• Corporate Formation Assistance: Preparation and submission of documentation for USA LLC/Corporation formation across all 50 states, Registered Agent coordination, IRS EIN tax identification number filings, and UAE (Dubai Freezone/Mainland) company setup facilitation.
• Trademark & IP Documentation: Pre-filing trademark clearance searches, preparation of filing materials for the United States Patent and Trademark Office (USPTO), UK Intellectual Property Office (UK IPO), and UAE Ministry of Economy, and Amazon Brand Registry enrollment guidance.
• Annual Tax Compliance Guidance: Form 5472, Pro Forma 1120 filing preparation assistance, and state annual report compliance coordination.

3. Non-Legal & Non-CPA Advisory Disclaimer

RGB LOGIX is a professional e-commerce growth and corporate management consultancy. RGB LOGIX is not a law firm or a licensed Certified Public Accounting (CPA) firm. The information provided on this website and during consultations is for informational and business facilitation purposes only and does not constitute formal legal or certified accounting advice. Where official attorney representation or CPA attestations are required by federal statutory law (such as USPTO foreign trademark applicants or certified audit filings), RGB LOGIX collaborates with or refers matters to licensed US attorneys and certified practitioners.

4. Government Filing Fees & Processing Timelines

Government administrative fees—including but not limited to US State Department filing fees, IRS application processing, USPTO class registration fees, UK IPO government fees, and UAE Freezone trade license fees—are mandated by the respective statutory authorities and are separate from RGB LOGIX professional service fees unless explicitly itemized as an all-inclusive package in a written agreement. While we guarantee accurate and prompt filing submissions within agreed turnaround windows, actual examination and approval timelines are subject to the processing speeds, backlogs, and discretion of government agencies.

5. Client Responsibilities & Accuracy of Information

The Client agrees to provide accurate, complete, and verifiable identification documents, beneficial ownership details, and corporate information required for state registry, banking compliance (KYC/AML), and tax filings. RGB LOGIX cannot be held responsible for filing delays, rejection notices, or statutory penalties arising from inaccurate, incomplete, or fraudulent data supplied by the Client.

6. Client Intellectual Property & Confidentiality

We maintain strict confidentiality regarding all Client proprietary business plans, product research data, supplier contracts, and sales performance figures. All deliverables created specifically for the Client (including custom graphic assets, listing copy, and brand materials) become the exclusive property of the Client upon full settlement of contracted invoices.

7. Payment Terms & Refund Policy

Professional consulting and retainer fees must be paid in accordance with the payment schedules established in individual service agreements or invoices. Once government filing fees have been disbursed to state registries, the USPTO, UK IPO, or UAE authorities, such government disbursements are non-refundable under all circumstances. Service fee refund requests for uncommenced administrative work will be reviewed in good faith based on the actual hours and resources committed up to the date of formal written cancellation.

8. Proprietary Rights, Tax Calculator Algorithms & Multi-Jurisdiction Anti-Scraping Penalties

The entire website design, visual interface, text copy, custom illustrations, graphic branding assets, source code, stylesheets, and proprietary calculation algorithms—including the USA Tax Calculator, UAE VAT Calculator, and Pakistan Tax Calculator—are the exclusive intellectual property of RGB LOGIX and are protected across international jurisdictions:

• United States Jurisdiction (DMCA): Protected under Title 17 of the United States Code (17 U.S. Code § 101 et seq.). Willful copyright infringement and unauthorized reproduction of proprietary code, formulas, or web content is subject to statutory civil damages of up to $150,000 per infringed work under 17 U.S. Code § 504(c)(2), plus attorney fees, injunctive relief, and immediate Google and Bing search index de-indexing strikes.
• United Arab Emirates (UAE) Jurisdiction: Protected under UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Neighboring Rights and Federal Decree-Law No. 34 of 2021 on Combatting Rumors and Cybercrimes. Unauthorized electronic data extraction, systematic ripping, or commercial imitation is subject to criminal prosecution, statutory fines ranging up to AED 500,000+, and court-ordered domain and asset confiscation.
• Pakistan Jurisdiction: Protected under the Copyright Ordinance 1962, the Intellectual Property Organization of Pakistan (IPO-Pakistan) Act 2012, and the Prevention of Electronic Crimes Act 2016 (PECA, Sections 3, 4, 14, and 17) governing unlawful data access, reproduction, and electronic system interference. Violations will be referred to the Federal Investigation Agency (FIA) Cyber Crime Wing for civil and criminal enforcement.

Prohibition of Automated Scraping & Ripping: Automated harvesting, ripping, cloning, reverse engineering, scraping, or systematic extraction of website pages, calculation formulas, or user-interface components via software bots, spiders, crawlers, or offline downloaders is strictly prohibited without express prior written authorization from RGB LOGIX.

Enforcement & Takedown Protocol: RGB LOGIX maintains zero tolerance for intellectual property theft. Infringements will trigger simultaneous DMCA search engine de-indexing strikes, web host abuse suspensions, and formal legal notices to the infringing party and their upstream service providers.

9. Limitation of Liability

To the maximum extent permitted by applicable law, RGB LOGIX and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or third-party marketplace suspensions (including Amazon policy enforcement or algorithm shifts), resulting from your use of our services or website.
